# MEDP — Mason Morfit / ValueAct-style analysis

**Verdict: attractive operating franchise; weak activist entry at the current price. Watchlist.** The jewel is already the core business. There is no demonstrated conglomerate discount, debt crisis, or large disposable division. Management already repurchases shares. The useful engagement agenda is succession, disclosure and capital discipline; it does not yet establish a large, controllable earnings uplift.

**1. Market setup: the distressed-entry test fails**

The local market-cap script returned 27,911,655 shares, dated July 17, and a $591.29 quote: approximately **$16.50 billion equity value**. The 52-week range is $373–$677.90: the stock is 12.8% below its high but 58.5% above its low. **2. The jewel and its limits**

Medpace reports one operating segment and emphasizes a full-service clinical development model. Small biopharma supplied 82% of 2025 revenue; midsized customers another 13%. The ten largest customers accounted for 35.1%. Contracts commonly permit termination with approximately 30 days’ notice. Employees rose from roughly 5,900 in 2024 to 6,200 in 2025. My inference: the defensibility lies in integrated scientific expertise, execution and the disruption of replacing a CRO during an active trial. That supports switching costs within a study, but does not guarantee the next study. Drug failures and sponsor decisions can extinguish demand regardless of service quality. This is not a subscription business with demonstrated retention economics.

The playbook’s “small fraction of customer cost” criterion is also not established: outsourced clinical development can be a major sponsor expense. Nor does a single segment automatically establish concealment. A laboratory separation would need evidence that standalone value exceeds the contribution of integration; none was identified.

**3. Operating quality: look through reimbursed expenses**

Q2 reported revenue increased 17.2% to $707.3 million; EBITDA was $153.4 million, a 21.7% margin. Net awards of $795.7 million produced 1.13× book-to-bill; backlog grew 4.9% to $3.014 billion. The income statement permits an analytical revenue proxy: reported revenue less reimbursed out-of-pocket expenses. It is not a separately reported segment or management-guided revenue measure.

This is the most consequential analytical adjustment. Do not value MEDP as if all headline growth represented higher-value service fees. Conversely, a declining reimbursement mix could mechanically improve consolidated margins without equivalent productivity gains. Evaluate service growth and cost efficiency together.

The local earnings-call query identified a rebound from Q1 book-to-bill of 0.88×, lower cancellations in Q2, and an expectation for lower reimbursable mix in H2. These are **secondary, machine-generated call summaries**, saved in [transcript.txt](sources/transcript.txt); the full underlying transcript was not independently reviewed here. They inform questions, not the valuation’s factual foundation. A single improved quarter is insufficient evidence of a durable bookings acceleration.

**4. Cash generation and allocation**

Reported FCF yield is **4.28%**. It is not automatically normalized owner earnings. Customer advances, tax timing, accrued expenses and stock compensation affect conversion. A $550–650 million normalized-FCF sensitivity gives only **3.3–3.9%**; this range is an underwriting assumption, not guidance or a fully reconciled forecast.

The cash balance is not all freely distributable: trial obligations still need funding. High goodwill relative to buyback-depleted equity does not establish failed acquisitions. There is no substantiated deleveraging catalyst.

Q2 repurchases cost $294.7 million for 705,616 shares, approximately **$417.65 per share**, with $527 million authorization remaining. Buying below today’s quote looks favorable retrospectively; intrinsic-value accretion still depends on future cash flows. Existing repurchases weaken the case that an activist must introduce capital returns.

**5. Governance: a specific agenda, not a wholesale replacement thesis**

The April proxy lists seven directors, six independent, and Troendle’s beneficial ownership at 19.6% as of March 19, including exercisable options. Declassification is scheduled to finish in 2027. The 2026 annual incentive weights are 50% EBITDA, 25% revenue and 25% individual/company performance. It also discloses CEO-linked leases, aviation, hotel and clinical-customer relationships. Three subsequent events change the analysis:

- President Jesse Geiger retired effective May 31; Troendle reassumed the presidency pending a successor. [April 8-K](sources/2026-04-22_000166839726000017.txt).

A constructive agenda would request a clear succession timetable, independent benchmarking of related-party contracts, and service-revenue/FCF-per-share measures that reduce incentives to emphasize reimbursed revenue. No above-market related-party pricing or quantifiable savings has been established; the model assigns none.

The 10-Q also discloses securities and derivative complaints concerning book-to-bill statements, with no recognized liability because loss was not probable or reasonably estimable. **6. Peers and shareholder signals**

ICON’s Q2 revenue grew 1.2%; adjusted EBITDA margin was 15.9%, net leverage 1.8× and book-to-bill 1.51×. Its direct-fee book-to-bill was 1.2×, illustrating why reimbursement mix matters. MEDP’s financial position and growth support some quality premium. Different service mixes and EBITDA adjustments prevent a clean margin ranking; these are context, not interchangeable valuation comparables.

The identified Schedule 13D/A belongs to Troendle/Medpace Investors, not an outside activist. A 13D alone does not prove activist intent. Recent secondary insider screens show CEO sales, not a fresh buying catalyst, but a complete Form 4 reconciliation was not performed. No outside activist campaign was established. A complete Q2 2026 institutional-holder concentration study remains an evidence gap; the proxy register is dated and cannot substitute for it.

**7. Valuation and the price of a better entry**

At $591.29, midpoint forward P/E is **33.6×**. Conventional enterprise value, subtracting all reported cash and excluding operating leases, is approximately $16.00 billion, or **25.4×** midpoint EBITDA. Retaining required operating cash would increase the economic multiple. Lease treatment must be consistent when comparing peers.

The following are illustrative end-2027 EPS/multiple scenarios, not management forecasts or discounted present values. No separate cash addition is made to P/E-derived equity values.

The base case already assumes 13.6% EPS growth from guided 2026 midpoint. It leaves little prospective price appreciation after multiple compression. The bull requires both roughly 31% EPS growth and preservation of a premium multiple.

An illustrative **$440–480 entry range** corresponds to 25–27.3× guided 2026 midpoint EPS. At $450, the $600 base outcome offers 33% upside. This is a valuation discipline, not a claim that the shares will trade there. Re-underwrite earnings if the price falls because the franchise deteriorates.

**8. What would change the decision**

Prioritize sustained net bookings above revenue, service growth holding in double digits, cash conversion after normal tax/working-capital assumptions, and credible succession execution. Better disclosure of gross awards and cancellations would make the earnings trajectory more underwritable. A lower entry price or verified new source of per-share earnings growth could then create the asymmetry missing today.

Do not assume an arbitrary margin uplift, a laboratory sale, or additional leverage creates value. Each requires evidence of an operational benefit exceeding execution risk. The current Mason conclusion is **protect and compound the existing jewel; wait for a price or catalyst that offers a clearer return**.
